        As I’ve mentioned to you recently, I’ve had a significant degree of trepidation about selling 50% of my business to an outside investor. While the money would be nice_and it’s a significant amount of money_its really more than I need to make the improvements and upgrades to the service. It’s a lot more than I need, as a matter of fact. In the short term, it would be a nice boost to my finances but in the long-term it isn’t worth giving up the potential profits of the business.

        More daunting is giving up so much control. Although I made a significant effort to get to know the potential “suitors”, I’m greatly concerned that at some point their desire to make money might significantly conflict with my desire to run my handicapping business is what I consider to be the “right” way.

        Despite these reservations, I’m still convinced that I need to make some investment in the infrastructure of my business to not only provide existing clients with the level of service they deserve, but to attract more business. In other words, I need some capital, but nowhere near as much to justify selling one half of my business.

        Last weekend I met with my brother (who is also my CPA) and my longtime attorney to discuss the partnership proposals before me as well as to explore other options for raising the capital to make these needed infrastructure improvements. Coincidentally, I received several emails and phone calls from clients making the same suggestion that we came up ourselves.

        THE PLAN:

        Since I only need a fraction of the money I was offered for 50% of my business, I’m only going to sell a fraction of my business. More specifically, I’m going to sell 10% of my business to stockholders in 1% increments. This will raise enough money to do what needs to be done to improve the business while keeping the ownership of the 10% “in the family”. As a stockholder you’ll not only receive a dividend equal to your percentage investment, but you’ll also receive all future services that we offer free of charge. We’ll also be adding other benefits for shareholders in the future. Actually, the 10% share is down to an 8% share_a client has already claimed the first two 1% shares.

        BENEFITS:

        Shareholders will receive several benefits, and we’re going to add some more in the future:

        1) Dividend payments: Shareholders will receive payment equal to their shares on all Net Prophet Sports revenue. My accountant has estimated that it’ll take one and a half to two years to recoup your initial investment based on the revenues from my last “pre divorce” year. After that, it’s all profit. You probably won’t get rich from this, but you will recoup your investment many times over. During the first year, we’ll be distributing dividends on a quarterly basis. After that, we’ll get your input and look at other options like monthly distribution of dividend payments. Your dividend payments will start to accrue on 9/1/04 and once your shares have been paid in full you'll receive your payment at the next distribution date!

        2) Free future services and free enhancement of existing services: As a shareholder, you’ll also receive all future services we offer free of charge. You’ll benefit from this almost immediately as our old colleague Robotic Man will be returning to full time handicapping by the start of football season. In addition we’ll be starting the RazorSharp Turf Service in the coming year. There are a few other things on the drawing board, and you’ll get them free of charge as well.

        Additionally, you’ll get complementary 800# service on the new voicemail system (which will be an optional feature) and other shareholder exclusive benefits that we’ll announce as they become available.

        3) You’ll be helping make Net Prophet Sports services more valuable to you: These infrastructure improvements will help me handicap more efficiently, compile information from my network of sources more quickly and effectively, and get the information to you more expediently. This will mean better information, faster and more precise distribution and as a result, more profits!

        4) More benefits to come!: We’ll continue to add shareholder perks over time_this will include limited edition shareholder only t-shirts, caps, and other swag. We’re going to set up a system that will allow you to “comp” a friend or associate with free service every year, and we’ll keep adding whatever we can think of to thank you for your investment in Net Prophet Sports!


        THE COST, PLUS A SPECIAL BONUS OFFER:

        The base cost for each 1% share is $2500. I want this program to be something that all clients can take advantage of, so we’re going to offer a number of installment plans. Obviously the more capital we can raise up front the better, so as an incentive to those who choose one of the larger lump sum payments we’ll double your percentage dividend payment during the first year on any up-front payment of $1000 or more. This means that for the first year your 1% share will earn you 2% of revenues, 2% will earn 4% and so forth. This will help you recoup your initial investment and get you earning a profit even quicker!

        It’s been a tough couple of years for me personally, but I’m now committed to making Net Prophet Sports a major player in the world of sports gambling information. Your investment will not only put money in your pocket for years to come, but will help us grow and develop the service. It’s a win/win proposition that I hope you’ll want to take advantage of.

              Four plays for Thursday:

              Due to time constraints, the writeups have been a bit abbreviated for today.

              OVER 9 FLA (PAVANO)/PHI (WOLF) -103 - 1 UNIT - 10:05am Pacific
              Both starters have not had good success against their opposing lineups; Pavano has been great this year in day games, but his career numbers show struggles during the day.

              TEX (RODRIGUEZ) -124 over Ana (Colon) - 1 UNIT - 11:05am Pacific
              Colon left his last start due to tightness in his forearm; if there are any lingering effects, he could be in trouble against the Texas lineup; his HR tendencies will hurt him in a park like Arlington.

              CHW (GARCIA) +100 over Cle (Sabathia) - 1 UNIT - 11:05am Pacific
              Sabathia has had success against Chicago's lineup, but he hasn't been sharp since coming off the DL; Garcia has been excellent and should limit Cleveland's offense. Like the Sox's righty dominated lineup against lefties.

              SEA (FRANKLIN) +106 over Oak (Redman) - 1 UNIT - 7:05pm Pacific
              Redman has been struggling mightily as of late. He'll face a bad Seattle offense, but even that may not be a cure for his recent struggles. Franklin pitches well at home and has done pretty good against the Oakland hitters.

                      Hope you enjoyed the 3-2, plus 1.9 net units of profit yesterday which
                      included big dog wins with Pittsburgh and Colorado. We are now 14-7
                      since the break grinding out solid profit one play for Thursday.


                      Texas Rodriguez (-125) over Anaheim Colon
                      Rangers continue to be the surprise, and the class, of the
                      AL West. At 30-13 home they trail only the Yankees for best home mark.
                      Colon has been a bust all year with era's of more than 5.80 overall,
                      away, and in L3 starts. First three starts for Rodriguez have been
                      virtually immacculate with an 0.45 era. He's not allowed a run in his last
                      15+ innings. Rangers again today.

                          Northcoast Compline (Mike Lee) 4* on over in White Sox game.
                          Don't call Phil Steele's compline UNLESS you want to hear him go on and on about his 2004 College Preview Magazine and his PowerSweep newsletter both loaded with plenty of information but most of it useless when it comes to handicapping and picking winners on a given day.
